“变更”系指按照第13条[变更和调整]的规定，经指示或批准作为变更的，对雇主要求或工程所做的任何更改.

“Variation” means any change to the Employer’s Requirements or the Works, which is instructed or approved as a variation under Clause 13 [Variation and Adjustment].

除专用合同条款另有约定外，合同履行过程中发生以下情形的，应按照本条约定进行变更：

Unless otherwise stipulated in the particular condition, the variation / amendment shall be effected under the stipulation hereof, if, the following circumstances arise in the course of performance of contract:

（1）增加或减少合同中任何工作，或追加额外的工作；

Increase or decrease any work or additional work hereof;

（2）取消合同中任何工作，但转由他人实施的工作除外；

Cancel any work in the contract, except for the work carried out by others;

（3）改变合同中任何工作的质量标准或其他特性；

Change the quality standards or other characteristics of any work in the contract;

（4）改变工程的基线、标高、位置和尺寸；

Change the baselines, elevations, locations and dimensions of the works;

（5）改变工程的时间安排或实施顺序。

Change the schedule of work or its implementation order.

发包人和监理人均可以提出变更。变更指示均通过监理人发出，监理人发出变更指示前应征得发包人同意。承包人收到经发包人签认的变更指示后，方可实施变更。未经许可，承包人不得擅自对工程的任何部分进行变更。

Both the employer and the supervisor can put forward to effect amendment. Any instruction of amendment should, with the prior consent of the employer, be issued by the supervisor. The contractor can effect the amendment until receipt of the amendment instruction signed by the employer, otherwise the contractor cannot effect amendment to any part of work at its own initiative.

涉及设计变更的，应由设计人提供变更后的图纸和说明。如变更超过原设计标准或批准的建设规模时，发包人应及时办理规划、设计变更等审批手续。

Provided that with respect to the design variation, the designer shall provide the amended drawings and specification, if, the variation exceeds the original design standard or the approved scale of construction, the employer shall conduct without delay the approval procedures of planning, design variation and other items.

发包人提出变更的，应通过监理人向承包人发出变更指示，变更指示应说明计划变更的工程范围和变更的内容。

Where the employer make the variation, the variation instruction should, through the supervisor, be issued to the contractor and specify the scope and contents of the planning variation.

监理人提出变更建议的，需要向发包人以书面形式提出变更计划，说明计划变更工程范围和变更的内容、理由，以及实施该变更对合同价格和工期的影响。发包人同意变更的，由监理人向承包人发出变更指示。发包人不同意变更的，监理人无权擅自发出变更指示。

Where the supervisor proposes the recommendation for variation, shall submit the plan of variation in writing to make the specification of the scope, contents and reasons of planning variated work, in addition to the affect on the price of contract and term due to execution of variation. Where the employer agrees to variated, the instruction thereof shall be issued by the supervisor, however, if, the employer don’t agree such variation, the supervisor has no right to issue the instruction for variation without authorization.

承包人收到监理人下达的变更指示后，认为不能执行，应立即提出不能执行该变更指示的理由。承包人认为可以执行变更的，应当书面说明实施该变更指示对合同价格和工期的影响，且合同当事人应当按照第10.4款〔变更估价〕约定确定变更估价。

Where the contractor, upon receipt of the variation instruction issued by the supervisor, deem it can’t be performed, should put forward the reason thereof promptly. Where the contractor consider it possible to carry out, should specify in writing the effect of the variation instruction on the contract price and term, and the parties hereto shall determine the calculated price under article 10.4 [Modification of Valuation].

变更导致实际完成的变更工程量与已标价工程量清单或预算书中列明的该项目工程量的变化幅度超过15%的，或已标价工程量清单或预算书中无相同项目及类似项目单价的，按照合理的成本与利润构成的原则，由合同当事人按照第4.4款〔商定或确定〕确定变更工作的单价。

Provided that the variation bring about the actual completion of the variated quantity in excess of 15% than the same of such item which is specified on the priced quantity bill or budget, or without the same or similar unit price thereof on the priced quantity bill or budget, the parties hereto will, on the principle of reasonable cost and profit constitution, make determination of the unit price of the variated work pursuant to article 4.4 [Consultation or Determination] hereof.

承包人应在收到变更指示后14天内，向监理人提交变更估价申请。监理人应在收到承包人提交的变更估价申请后7天内审查完毕并报送发包人，监理人对变更估价申请有异议，通知承包人修改后重新提交。发包人应在承包人提交变更估价申请后14天内审批完毕。发包人逾期未完成审批或未提出异议的，视为认可承包人提交的变更估价申请。

The contractor shall, within 14 days upon receipt of the variation instruction, submit the supervisor with the application of valuation for variation, and the supervisor shall, within 7 days upon receipt of the application submitted by the contractor, examine and submit to the employer, however if, the supervisor has an objection to the application, shall notify the contractor to resubmit it subsequent to modification thereof. The employer shall, within 14 days subsequent to the submission of application by the contractor, make examination and approval thereof. Provided that the employer fails to complete the examination or fails to make an objection, will be deemed to have accepted the application for calculation by the contractor.

因变更引起工期变化的，合同当事人均可要求调整合同工期，由合同当事人按照第4.4款〔商定或确定〕并参考工程所在地的工期定额标准确定增减工期天数。

Where term change due to variation, any party hereto may require the adjustment of contract term for which the increase or decrease of term days will be determined by parties hereto, in accordance with article 4.4 [Calculation on Variation] and make reference to the term quota standard in the project location.

In case of qualification of re-test, the increased costs and / or extension of the completion date occurred by the contractor shall be treated as an amendment as per article 13 [Amendment and Adjustment of Contract Price].

如重新试验合格，承包人增加的费用，和（或）竣工日期的延长，按照 13 条变更和合同价格调整的约定，作为变更处理。

变更权发包人拥有批准变更的权限。自合同生效后至工程竣工验收前的任何时间内，发包人有权依据监理人的建议、承包人的建议，及 13.2 款约定的变更范围，下达变更指令。变更指令以书面形式发出。

Right of amendment The employer has the authority and power to approve the amendment. The employer shall, at any time from the commencement of the contract to the completion and acceptance of the project, have the right to issue amendment order on the advice of the supervisor, the contractors recommendation, and the scope of amendment stipulated in article 13.2. The amendment order is issued in writing.

由发包人批准并发出的书面变更指令，属于变更。包括发包人直接下达的变更指令、或经发包人批准的由监理人下达的变更指令。承包人对自身的设计、采购、施工、竣工试验、竣工后试验存在的缺陷，应自费修正、调整和完善，不属于变更。

A written amending order approved and issued by the employer is an amendment, include, inter alia, the amend order issued directly by the employer or the same issued by the supervisor with the approval of the employer. The contractor shall amend, adjust and perfect at its own expense the defects of the design, purchase, construction, completion test and post-completion test, which do not fall within the scope of amendment.

承包人有义务随时向发包人提交书面变更建议，包括缩短工期，降低发包人的工程、施工、维护、营运的费用，提高竣工工程的效率或价值，给发包人带来的长远利益和其它利益。发包人接到此类建议后，应发出不采纳、采纳或补充进一步资料的书面通知。

The contractor shall be obliged at any time to submit to the employer proposals for amendment in writing, including inter alia, shortening work period, reducing the employer’s cost of work, construction, maintenance and operation in addition to bring about long-term benefits and other benefits to the employer by the ways of improving the efficiency or value of the completed works. The employer shall, upon receipt of such proposals, give written notice on not to be adopted, accept or supplement further information.

根据第13条[变更和调整]的规定,雇主可以改变进行规定试验的位置或细节,或指示承包商进行附加的试验.如果这些变更或附加的试验表明,经过试验的生产设备、材料、或工艺不符合合同的要求,不管合同有何其他规定,承包商应负担进行本项变更的费用.

The Employer may, under Clause 13 [Variations and Adjustments], vary the location or details of specified tests, or instruct the Contractor to carry out additional tests. If these varied or additional tests show that the tested Plant, Materials or workmanship is not in accordance with the Contract, the cost of carrying out this Variation shall be borne by the Contractor, notwithstanding other provisions of the Contract.

如果变更超出原设计标准和原设计的范围，由原设计院、甲方计划部门确认，获得最佳投资和材料数据。

In case the change exceeds the scope of the original design standard, the change shall be approved by the original design company and Party A’s planning department to acquire the best investment and material

变更应交给原设计院核查以取得确切的图纸或指示：如果在施工过程中甲方变更了原来的设计，那么甲方应在取得上述两项许可后向乙方发出通知。乙方应依照该通知进行变更。否则，乙方有权拒绝此项变更。

The change shall be audited by the original design company for precise drawings or instructions; in case Party A initiates the change, Party A shall issue a notice to Party B after obtaining the above approvals and Party B shall adjust to the change legitimately. Otherwise, Party B shall have the right to recline the change.

在双方同意变更后，乙方应根据甲方代表的要求作如下变更：

Upon both parties’ approval on the change, Party B shall make the following changes as per Party A’s requirement:

（1）按合同要求增加或减少规定的工程量；

To increase or decrease the bill of quantity as per the Contract requirement;

（2）变更有关的属性、质量和技术要求；

To change the relevant quality, technical requirements, etc.

（3）变更有关部件的水平度、基础线、位置和尺寸；

To change the levelness, baselines, position and dimension;

（4）按要求增加或减少的工程量；

To increase or decrease the bill of quantity as per the requirement;

（5）改变相关的施工时间和顺序；

To change the construction time and order.

以上变更造成乙方的花费和产生的损失均由甲方承担，同时竣工日应作相应的推后。

Party A shall be liable to cover all the expenses and losses incurred by the changes mentioned above, if any, and if the progress is affected, the completion date shall be postponed correspondingly.

如因变更及核定单造成合同价格及竣工日期作相应调整。

In case of change or considerations, the contract value and the completion date shall be adjusted accordingly.
